THIS IS AN AGREEMENT BETWEEN YOU OR THE ENTITY THAT YOU REPRESENT (HEREINAFTER “YOU” or “YOUR”) AND MyAlgoSoft PVT. LTD. GOVERNING YOUR USE OF OUR TECHNOLOGIES OF ONLINE BUSINESS PRODUCTIVITY AND COLLABORATION SOFTWARE IF YOU ARE BASED IN INDIA

• "This Agreement":This refers to the document or contract in which these terms and conditions are stated. It's the agreement between two parties, typically a company or service provider and a user or customer.

• "General Terms": These are the overarching terms and conditions that apply to the entire agreement. They typically cover general rules, rights, and obligations that both parties must adhere to.

• "Service Specific Terms": These are additional terms and conditions that are specific to particular services or products offered within the agreement. They provide more detailed information about how certain services are to be used or what specific rules apply to them.

• "In the event of a conflict": This phrase anticipates the possibility that there may be contradictions or inconsistencies between the General Terms and the Service Specific Terms.

• "The Service Specific Terms shall prevail": This means that if there is a conflict between the General Terms and the Service Specific Terms, the Service Specific Terms will take precedence. In other words, the rules and conditions specific to a particular service or product will be followed over the more general terms.

Overall, this clause is designed to ensure that users understand that the agreement consists of both general terms applicable to the entire agreement and specific terms that apply to individual services or products. It also clarifies which set of terms should be followed in case of any conflicts between them.

We provide cloud software and applications for businesses, including associated offline and mobile applications ("Service" or "Services"). You may use the Services for your personal and business use or for internal business purpose in the organization that you represent. You may connect to the Services using any Internet browser supported by the Services. You are responsible for obtaining access to the Internet and the equipment necessary to use the Services. You can create and edit content with your user account and if you choose to do so, you can publish and share such content.

If you register for a free trial of one or more Services, MyAlgoSoft will make the applicable Services available to you on a trial basis free of charge until the earlier of

• The end of the free trial period of the applicable Services (unless terminated earlier by you)

• The start date of the paid subscription period for the applicable Services

• Termination by MyAlgoSoft in its sole discretion. Any data that you enter into the Services, and any customizations made to the Services during the free trial will be permanently lost unless you (i) purchase the corresponding paid subscription plan for the account, (ii) purchase applicable Service upgrades, or (iii) export such data before the end of the trial period. Notwithstanding anything contained in this Section, Services are offered as-is during the free trial, without any warranty, covenant, support or liability whatsoever, to the extent permitted by law.

You need to sign up for a user account by providing all required information in order to access or use the Services. If you represent an organization and wish to use the Services for corporate internal use, we recommend that you, and all other users from your organization, sign up for user accounts by providing your corporate contact information.

In particular, we recommend that you use your corporate email address. You agree to:

• Users are required to provide accurate information during the sign-up process.

• Users must also keep this information up to date and current.

• If a user provides information that is untrue, inaccurate, outdated, or incomplete, or if the company has reasonable grounds to suspect this, they have the right to: a. Terminate the user's account. b. Refuse the user's current or future use of any or all of their services.

In addition to all other terms and conditions of this Agreement, you shall not:

• transfer the Services or otherwise make it available to any third party

• provide any service based on the Services without prior written permission.

• allow user licenses to be shared or used by more than one individual other than by way of reassigning the user license to a new user

• except as permitted under applicable law, attempt to disassemble, reverse engineer or decompile the Services

• use the third party links to sites without agreeing to their website terms & conditions

• post links to third party sites or use their logo, company name, etc. without their prior written permission

• attempt to gain unauthorized access to the Services or its related systems or network

• use the Services in any manner that could damage, disable, overburden, impair or harm any server, network, computer system, resource of MyAgloSoft.

• use the Services to send or store material containing software viruses, worms or other harmful computer codes, files, scripts or programs

• use the Services in any manner that interferes with or disrupts the integrity, security or performance of the Services, its components and the data contained therein; host, display, upload, modify, publish, transmit, store, update or share any information that belongs to another person or entity and to which you do not have any right, including personal or confidential information of any person or entity with respect to which you do not have consent or permission from such person or entity

• violate any applicable local, state, national or international law

• use the Services for any form of competitive or benchmarking purposes.

• Remove or obscure any proprietary or other notices contained in the Services

• use our Services in any manner that threatens the unity, integrity, defense, security or sovereignty of India, friendly relations of India with other countries, or public order, or causes incitement to the commission of any cognizable offence or prevents investigation of any offence or is insulting other countries.

• create a false identity to mislead any person as to the identity or origin of any communication.

• use the services for transmitting information that is patently false and untrue, and is written or published in any form, with the intent to mislead or harass a person, entity or agency for financial gain or to cause any injury to any person.

• use the services in a manner that relates to or encourages any activity prohibited by law in India.

• Responsibility for Content:Users are required to take sole responsibility for the content they transmit through the service. This means that users are accountable for what they post or share on the platform.

• Prohibited Content: Users are prohibited from using the service for various purposes, including illegal activities, transmitting unlawful, defamatory, insulting, harassing, libelous, invasive of privacy, abusive, threatening, harmful, vulgar, pornographic, or otherwise objectionable content. This includes content that may be harmful to children or offensive on racial, ethnic, or religious grounds.

• Malicious Activities:Users are not allowed to use the service for transmitting viruses, malicious code, or engaging in phishing or other unsolicited mass email distributions.

• Intellectual Property Rights:Users must not infringe upon the intellectual property or other rights of others while using the service. This means that users should not share copyrighted material without proper authorization.

• Spam and Junk Mail:The service prohibits the use of its platform for sending "junk mail," "spam," "chain letters," or engaging in phishing activities. This is to prevent the platform from being used for unwanted or unsolicited communication.

• Termination: The service provider reserves the right to terminate a user's access to the service if there are reasonable grounds to believe that the user has violated these terms, engaged in illegal activities, or used the service for unauthorized activities.

• Integration with Third-Party Applications: MyAlgoSoft Services are designed to work with various third-party applications.

• Acceptance of Third-Party Terms: When using these third-party applications in conjunction with MyAlgoSoft Services, you may be required to accept and comply with the terms of service and privacy policies of those third-party applications. It's your responsibility to read and understand these terms.

• MyAlgoSoft Lack of Liability for Third-Party Applications: MyAlgoSoft explicitly states that they are not liable for any issues, problems, or liabilities related to the use of third-party applications integrated with MyAlgoSoft Services. This means that any disputes, losses, or consequences arising from the use of third-party applications are not MyAlgoSoft responsibility.

• Suspension or Removal of Third-Party Applications: MyAlgoSoft reserves the right, at their sole discretion and without notice, to suspend, restrict, disable access to, or remove any third-party application from MyAlgoSoft Services. This action may be taken for various reasons, and MyAlgoSoft is not liable for any negative consequences that may result, such as loss of profits, revenue, data, goodwill, or other intangible losses.

• Personal Information: Any personal information you provide to MyAlgoSoft through their service is subject to MyAlgoSoft Privacy Policy. This means that MyAlgoSoft will handle your personal data in accordance with their privacy policy, and you should review that policy to understand how your data will be used and protected.

• Acceptance of Terms: By choosing to use MyAlgoSoft service, you are indicating your acceptance of the terms outlined in the MyAlgoSoft Privacy Policy. In other words, you agree to abide by their privacy and usage policies.

• User Account Responsibility: You are responsible for maintaining the confidentiality of your username, password, and any other sensitive information related to your user account. This is a common provision in terms of service agreements to ensure the security of your account.

• Unauthorized Use: If you become aware of any unauthorized use of your user account, you are obligated to inform MyAlgoSoft immediately. You can do this by sending an email to accounts@zohocorp.com or by calling the contact numbers provided on MyAgloSoft’s official website.

• Limitation of Liability: The passage also states that MyAgloSoft’s is not responsible for any losses or damages incurred by you or third parties due to unauthorized access or use of your user account or any other related issues.
